Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Avraham Z Harris, an individual ("Trequence," "we," "us," or "our"), the operator of the Trequence website, applications, and services (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. By creating an account, clicking "I agree," checking an acceptance box, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You represent that all information you provide is accurate and that you are legally able to form a binding contract.
3. Description of the Service
Trequence is an AI-powered study tool. You may upload documents such as textbook PDFs ("User Content"), and the Service uses automated artificial-intelligence systems, including third-party large language models, to generate study materials — such as summaries, flashcards, and practice exams — derived from that content ("Generated Content"). The Service is intended for your personal, non-commercial educational use.
AI disclosure. You acknowledge that the Service uses automated AI systems to process your uploads and produce Generated Content, and that you are interacting with AI-generated output rather than human-authored material.
We may add, change, or remove features of the Service at any time. For material changes that adversely affect paid subscribers, we will use reasonable efforts to provide advance notice.
4. Your Content and Your Responsibilities — Copyright
This is the most important section. Read it carefully.
4.1 You are solely responsible for what you upload.
By uploading any User Content, you represent and warrant that:
- You own the User Content, or you have obtained all rights, licenses, consents, and permissions necessary to upload it and to have it processed by the Service;
- Your upload and use of the User Content does not infringe, misappropriate, or violate any third party's copyright, trademark, contract, privacy, or other rights; and
- You will use the Service and all Generated Content only for your own personal, non-commercial educational purposes.
4.2 No infringing material.
You agree not to upload any document you do not legally own or have a lawful right to use. Uploading pirated, unauthorized, or otherwise infringing copies of textbooks or other copyrighted works is strictly prohibited and is a material breach of these Terms.
4.3 No rights to underlying works are granted.
Trequence does not own and does not license to you the textbooks or other works you upload. Nothing in the Service grants you any rights in any underlying copyrighted material. Generated Content is a derivative study aid produced from material you supplied; your right to use Generated Content depends entirely on your having had the right to use the source material.
4.4 License you grant to us.
You retain ownership of your User Content. You grant Trequence a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and create Generated Content from your User Content solely for the purpose of operating and providing the Service to you. This license ends when you delete the relevant User Content or your account, except for (a) backup copies retained for a commercially reasonable period and (b) Generated Content already associated with your account.
4.5 Indemnification for your content.
You agree to indemnify, defend, and hold harmless Trequence and its owners, members, managers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your User Content; (b) your use of the Service or Generated Content; (c) your violation of these Terms; or (d) your violation of any third party's rights, including any intellectual-property claim brought by a copyright holder.
5. How We Handle Uploaded Files
We process your uploaded files to extract text and generate your study materials. We do not sell your uploaded files or Generated Content.
Original PDF files you upload are processed transiently in server memory only. We do not write the original PDF to disk or store it in our database. Once we have extracted the text and chapter structure from your upload (within a few minutes of upload at most), the original file is discarded from server memory. What we retain in our database is the extracted text content of the document and the Generated Content (summaries, flashcards, practice questions) derived from it. 6. Copyright Complaints (DMCA Notice and Takedown)
We respect the intellectual-property rights of others. If you believe material associated with the Service infringes a copyright you own or control, send a written notice to our designated contact:

Your notice should include, consistent with the Digital Millennium Copyright Act (17 U.S.C. § 512): (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner; and (f) your physical or electronic signature.
We may remove or disable access to allegedly infringing material and may terminate the accounts of users who are repeat infringers.
7. Artificial Intelligence — No Guarantee of Accuracy
7.1 Outputs are probabilistic, not guaranteed. Generated Content is produced by automated AI systems and may contain errors, omissions, fabrications, or inaccuracies. We do not warrant that Generated Content is accurate, complete, current, or suitable for any purpose, including exam preparation or academic submission.
7.2 You must verify before relying. You are responsible for independently reviewing and verifying any Generated Content before relying on it. Generated Content is a study aid only and is not authoritative, and does not constitute professional, academic, medical, legal, financial, or other advice.
7.3 No liability for reliance. To the maximum extent permitted by law, Trequence is not liable for any academic outcome, grade, decision, or other consequence arising from your reliance on Generated Content without independent verification.
7.4 Academic integrity. You are responsible for ensuring your use of the Service and Generated Content complies with the academic-integrity policies of your school or institution. The Service is a study aid and is not intended to facilitate cheating, plagiarism, or academic dishonesty.
8. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.
9. Subscriptions, Billing, Trials, and Auto-Renewal
9.1 Plans. The Service may offer free trials and paid subscriptions. Paid plans are billed at $9.99 per month or $79 per year. Beta participants may receive an extended free trial.
9.2 Auto-renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date. By subscribing, you authorize us (through our payment processor) to charge your payment method on a recurring basis until you cancel.
9.3 Cancellation. You may cancel at any time through your account settings or customer portal. Cancellation stops future charges; it does not retroactively refund amounts already paid, except as required by law.
9.4 Payment processing. Payments are processed by Stripe. We do not store your full payment-card details. Your use of payment features is also subject to Stripe's terms.
9.5 Price changes. We may change subscription prices with reasonable advance notice. Changes apply to billing periods beginning after the notice.
10. Acceptable Use / Prohibited Conduct
You agree not to: (a) upload content you lack the right to use; (b) use the Service for any unlawful purpose; (c) reverse-engineer, decompile, scrape, or attempt to extract the Service's source code, models, or underlying data; (d) resell, sublicense, or commercially redistribute the Service or Generated Content; (e) circumvent usage limits, security, or access controls; (f) upload malware or attempt to disrupt or compromise the Service; (g) use automated means to access the Service except as expressly permitted; or (h) use the Service to facilitate academic dishonesty in violation of any institution's policies.
We may, but are not obligated to, monitor User Content, and we may remove content or suspend accounts that violate these Terms, in our sole discretion.
11. Intellectual Property in the Service
The Service — including its software, design, text, graphics, logos, and the "Trequence" name and branding — is owned by Trequence or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not use our trademarks without our prior written permission.
12. Third-Party Services
The Service relies on third-party providers (including Stripe for payments, and third-party AI model providers, hosting, authentication, and email providers) to function. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions.
13. Disclaimer of Warranties
THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT GENERATED CONTENT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREQUENCE AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR ACADEMIC OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases. Sections that by their nature should survive — including Sections 4, 7, 11, 13, 14, 16, and 17 — survive termination.
16. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice — for example, by email to your account address or an in-app notice — at least 30 days before the changes take effect where practicable. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. You agree that any dispute will be resolved in the state or federal courts located in California, and you consent to their jurisdiction, except where applicable law grants you the right to bring claims elsewhere.
18. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Trequence regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
